Letter of Intent

I/We understand that MyTrux is developing an AI-powered carrier platform that will provide the following services:

AI-powered load matching and recommendations from 25+ load boards
Instant payment within 30 minutes of delivery (optional, 2.5% fee)
Automated compliance management (HOS, IFTA, permits, insurance certificates)
Operating authority and group insurance coverage
Digital wallet and financial management tools
Fuel card with discounts and optimization
Mobile app for iOS and Android

3. Preliminary Pricing Understanding

I/We understand the anticipated pricing structure for MyTrux services:

Platform Service Fee: 13% of gross freight revenue per load
Insurance Coverage: 5% of gross freight revenue per load
Total Base Commission: 18% (when operating under MyTrux authority)
Optional Instant Payment: 2.5% factoring fee for payment within 30 minutes

Pilot Program Discount (if applicable):

Early pilot participants may receive a discounted commission rate for the first 90 days of the program. Final pilot pricing will be communicated before platform launch.

4. Expression of Interest

I/We express interest in participating in the MyTrux pilot program, subject to the following conditions:

a) Review and acceptance of MyTrux's final terms of service and carrier agreement

b) Successful completion of MyTrux's driver/carrier vetting and onboarding process

c) Platform functionality meeting our operational requirements

d) Mutual agreement on pilot program terms, duration, and expectations

e) Compliance with all DOT, FMCSA, and applicable regulatory requirements

5. Anticipated Business Volume (Estimates)

The following estimates represent our anticipated usage of the MyTrux platform. These are non-binding projections:

7. Pilot Program Commitment Level

Please indicate your anticipated level of engagement with the MyTrux pilot program:

Exclusive: I/We intend to run 100% of freight through MyTrux during the pilot

Primary: I/We intend to run 75%+ of freight through MyTrux during the pilot

Significant: I/We intend to run 50-75% of freight through MyTrux during the pilot

Test: I/We intend to run 25-50% of freight through MyTrux during the pilot

Trial: I/We intend to run <25% of freight through MyTrux initially to test

8. Feedback and Collaboration

As a pilot participant, I/We commit to providing regular feedback to help MyTrux improve its platform, including:

Weekly check-in calls or surveys during the first month

Monthly feedback sessions for the duration of the pilot

Reporting bugs, issues, or feature requests via the app or email

Participation in user testing for new features

9. Non-Binding Nature of This LOI

IMPORTANT: This Letter of Intent is entirely non-binding. Neither party has any legal obligation to enter into a business relationship. This LOI expresses mutual interest and good-faith intent to explore a pilot program relationship.

Either party may decline to proceed at any time, for any reason, without penalty or liability. Any future business relationship will be governed by separate, binding agreements, including MyTrux's terms of service and carrier agreement.

The Participant acknowledges that MyTrux is in development, and that platform features, pricing, timeline, and availability are subject to change.

10. Confidentiality

Both parties agree to keep the terms of this LOI and any shared business information confidential, except as required by law or with mutual written consent. This confidentiality provision shall survive any termination of discussions.

11. Anticipated Next Steps

Upon signing this LOI, MyTrux will:

Add you to our pilot participant list and priority communication list
Provide regular updates on platform development progress
Share pilot program details, timeline, and requirements as they are finalized
Conduct additional onboarding conversations before launch
Invite you to participate in the pilot when the platform is ready (anticipated 8-12 weeks)
